Special Interim Dividend Following Strategic Gain
One of the highlights from the meeting was the declaration of a special interim dividend of ₹12 per equity share, equivalent to 600% of the face value of ₹2 per share. The dividend, scheduled for credit or dispatch on or around May 26, 2025, is attributed to exceptional income generated from the sale of equity in its subsidiary, Bajaj Housing Finance Limited (BHFL), during its initial public offering in September 2024. The record date to determine eligible shareholders for this dividend is May 9, 2025.
Bajaj Finance Financial Performance for FY25
Bajaj Finance has posted the Q4 results for the quarter and year ending March 31, 2025. For the full year, the company reported total income of ₹59,420 crore, a significant increase from ₹46,946 crore in the previous year. Net profit after tax stood at ₹16,661 crore, marking a healthy rise over ₹12,644 crore recorded in FY24.
The consolidated results of the group, including its subsidiaries Bajaj Housing Finance Limited and Bajaj Financial Securities Limited, as well as associates like Snapwork Technologies and Pennant Technologies, also indicated steady growth. Consolidated income rose to ₹69,725 crore for FY25, with a net profit of ₹16,779 crore.
Bajaj Finance Final Dividend Recommendation
In addition to the special dividend, the Board has recommended a final dividend of ₹44 per share (2200% of the face value of ₹2). Contingent on shareholder approval at the upcoming Annual General Meeting (AGM) scheduled for July 24, 2025, the dividend is planned to be distributed on or about July 28. Eligibility for receiving the dividend will be based on the record date of May 30, 2025.

Bajaj Finance Share Split and Bonus Issue to Improve Liquidity
To enhance stock liquidity and widen retail investor participation, the company’s board approved a sub-division of equity shares. Each share of Bajaj Finance of face value ₹2 will be split into two shares of ₹1 each. Moreover, the company will issue bonus shares in the ratio of 4:1—meaning shareholders will receive four fully paid-up shares of ₹1 each for every single ₹1 share held post-split. These actions are subject to shareholder approval via postal ballot. The corporate actions, including credit of bonus shares, are expected to be completed by June 27, 2025.
Increase in Authorized Share Capital
In anticipation of the bonus issue and future expansion, the company also proposed amending its Memorandum of Association to raise the authorized share capital from ₹150 crore to ₹1,000 crore. This move, too, awaits shareholder consent through a postal ballot process.
